1) Agreement to Terms

Welcome to BuildPath Digital Solutions (“Company,” “we,” “us,” “our”). These Terms of Service (“Terms”) govern your use of our website, digital marketing services, and related offerings. 2) Services Provided

BuildPath Digital Solutions is a digital marketing agency offering services including, but not limited to:

Pay-Per-Click (PPC) advertising (Google Ads, Meta Ads, etc.)

Content creation and media production

CRM setup, automations, and email/SMS marketing

Each service is provided according to a project proposal, contract, or subscription agreement between the client and BuildPath Digital Solutions.

3) Estimates, Proposals, and Contracts

Estimates: Quotes provided are based on the information available at the time and may change if project scope or requirements change.

Proposals: A formal proposal may include pricing, deliverables, and timelines. Acceptance of a proposal constitutes agreement to these Terms.

Contracts: For larger projects or ongoing retainers, a written contract will outline specific terms that take precedence over this general ToS.

4) Payments and Billing

Payment Terms: Payment schedules (e.g., deposit, milestone, or monthly retainer) will be outlined in your invoice or agreement.

Accepted Methods: Payments may be made via credit card, ACH, PayPal, or other third-party processors. We do not store full payment card numbers.

Late Payments: Late or missed payments may result in service suspension, late fees, or termination of agreement.

Refunds: Services are billed for time, strategy, and deliverables. Completed work is non-refundable, though partial refunds may be considered for unstarted services.

5) Client Responsibilities

To ensure smooth delivery of services, clients agree to:

Provide accurate and timely information needed to perform services.

Supply access credentials (e.g., website logins, ad accounts, CRMs, domain providers) when required.

Review and approve deliverables promptly.

Comply with all applicable laws regarding marketing content and campaigns.

Failure to provide necessary information or approvals may delay projects, for which BuildPath Digital Solutions is not responsible.

6) Intellectual Property

Company Materials: All original designs, code, creative assets, and strategies remain the property of BuildPath Digital Solutions until full payment is received. Upon full payment, ownership rights transfer to the client, except for any third-party tools, stock content, or software licenses.

Client Materials: Clients retain ownership of content, logos, trademarks, and materials they provide. Clients grant BuildPath Digital Solutions a limited license to use these materials for project purposes.

Portfolio Use: Unless otherwise agreed, we reserve the right to showcase completed projects in our portfolio or marketing materials.

7) Confidentiality

Both parties agree to maintain the confidentiality of non-public information exchanged during the business relationship, including trade secrets, client data, and marketing strategies.

8) Warranties and Disclaimers

Performance Disclaimer: Marketing results vary based on numerous factors outside our control (e.g., market conditions, platform changes, competition). We make no guarantees regarding specific results such as sales volume, rankings, or return on ad spend.

Services Provided “As Is”: Except as expressly stated, services are provided without warranties of any kind, express or implied.

9) Limitation of Liability

To the fullest extent permitted by law, BuildPath Digital Solutions is not liable for:

Indirect, incidental, or consequential damages.

Loss of revenue, profits, or data resulting from use of our services.

Issues caused by third-party platforms (e.g., ad network suspensions, algorithm changes).

Our total liability for any claim relating to services will not exceed the total amount paid by the client for those specific services.

10) Termination

By Client: Clients may cancel services by providing written notice according to the contract or subscription terms.

By Company: We may suspend or terminate services if a client breaches these Terms, fails to pay invoices, or engages in illegal/unethical practices.

Effect of Termination: All outstanding payments remain due. Certain obligations (confidentiality, limitations of liability, IP ownership) survive termination.

11) Third-Party Tools and Services

Our services may integrate or rely on third-party platforms (e.g., Google, Meta, Wix, GoHighLevel). We are not responsible for outages, changes, or failures of those third parties. Clients remain bound by third-party terms of service in addition to ours.

12) Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Salt Lake County, Utah.

13) Changes to Terms

We may update these Terms at any time. The “Effective Date” at the top indicates the latest version. Continued use of our website or services after updates means you accept the revised Terms.
